Terms and Conditions

Last updated: 15 October 2026

These Terms and Conditions (“Terms”) govern access to and use of Yata’s Marketplace at yatasmarketplace.com, including the public marketplace, Seller Portfolios, Supplier Portal and Online Warehouse, Hire Stall & Space, Business and Service Provider Cabinets, nonprofit features, Global Reach, reviews, checkout, payment and payout functions, and other services made available through the platform.

About Yata. Yata’s Marketplace is operated by Yata Ltd, company number 17467636, registered address 74 Maple Road West, Luton, LU4 8BQ, United Kingdom. Contact: office@yatasmarketplace.com.

1. Acceptance of these Terms

By creating an account, purchasing a Yata platform subscription, listing goods or services, supplying goods, using a Yata cabinet or portal, placing an order, submitting a review or otherwise using functions that require acceptance of these Terms, you agree to be bound by them. If you use Yata on behalf of a company, partnership, charity or other organisation, you confirm that you have authority to act for that organisation.

These Terms do not remove any rights that applicable law does not allow to be excluded or restricted. If a mandatory law gives a consumer stronger rights than these Terms, that law will apply.

2. Who may use Yata

You must have legal capacity to enter the transaction you undertake. Supplier, Dropshipping Seller, Registered Business, Business Service Provider and Independent Service Provider accounts, and paid subscriptions used for trading or professional activity, are intended for persons aged 18 or over who are acting for business, trade or professional purposes. Users must provide accurate, current information and must not impersonate another person or organisation.

You are responsible for safeguarding your password, email account and any connected payment or store account. You must tell Yata promptly if you reasonably believe your account has been compromised.

3. Yata’s role and the contracts formed through the marketplace

Yata provides the digital marketplace through which different types of users can find, buy, sell, supply or advertise pet-related goods and services.

The use of Yata checkout or a Yata-supported payment flow does not by itself make Yata the seller of third-party goods or the provider of third-party services.

4. Marketplace conduct

You must use Yata lawfully, honestly and in good faith. You must not:

5. Seller Portfolios

Seller Portfolios provide Dropshipping Sellers with access to Yata seller tools, My Store and approved products available through the Online Warehouse. The current portfolio levels are Starter, Standard and Premium, with the product limits and prices shown on the relevant Yata page at the time of subscription.

Seller Portfolios renew monthly unless cancelled. Cancellation stops future renewal and normally leaves access available until the end of the period already paid for. Cancellation does not automatically create a refund for a period that has already started, except where a refund or cancellation right applies under mandatory law or Yata expressly agrees otherwise.

Portfolio access may be reduced, suspended or ended if the subscription expires, payment fails, the account breaches these Terms, or access must be restricted for fraud, safety, legal, payment or security reasons.

Seller Portfolios are intended for users carrying on, or preparing to carry on, a trading activity. A Seller is responsible for its store information, retail prices and markups, customer-facing product presentation, taxes and other obligations that apply to it as a retailer.

6. Suppliers and the Online Warehouse

A Supplier must be approved by Yata before receiving supplier selling access. Approval means that Yata has permitted the account to use the relevant marketplace tools; it is not a warranty, certification or guarantee of the Supplier, its products or its business.

Suppliers are responsible for the accuracy and legality of product information supplied to Yata, including descriptions, images, ingredients or composition where relevant, variations, stock, supplier cost, warehouse information, delivery availability, dispatch information and any safety, warning, labelling or compliance information required for the product.

Suppliers must keep stock and fulfilment information reasonably current, pack and dispatch allocated goods correctly, use buyer delivery information only as necessary to fulfil the order, and cooperate with Yata, the retail Seller and relevant authorities where a product complaint, refund, safety issue, recall, chargeback or investigation arises.

7. Hire Stall & Space

Hire Stall & Space is a recurring monthly platform subscription at the price displayed at checkout. A subscriber must select the account type that accurately describes their activity.

Cancellation stops future renewal and normally leaves platform access available until the end of the period already paid for, subject to payment status and these Terms. Yata may suspend access sooner where reasonably necessary for safety, fraud prevention, legal compliance, payment disputes or serious misuse.

8. Business and service-provider responsibilities

Every business or service provider is responsible for ensuring that it may lawfully provide the goods or services it advertises. This includes obtaining and maintaining any licences, registrations, qualifications, permits, insurance, professional cover, checks, certifications or other approvals required for its activity.

Providers are responsible for their own descriptions, prices, availability, service areas, bookings, communications, performance and conduct. Where service payment is arranged directly between a service user and provider rather than through a Yata checkout, Yata is not a party to that payment arrangement.

Providers must take reasonable care of animals, people and property and must comply with applicable animal-welfare, health and safety, transport, professional and consumer laws.

9. Veterinary and animal-related information

Yata may help users discover veterinary clinics and other animal-related providers, but Yata does not itself diagnose, prescribe, treat animals or provide veterinary or medical advice. A listing, map pin, review or profile does not replace professional assessment and does not guarantee that a provider is suitable for a particular animal or situation.

In an urgent or emergency animal-health situation, users should contact an appropriate veterinary professional or emergency veterinary service directly rather than relying on marketplace content, reviews or map information.

10. Nonprofits, rescues and charities

Yata may review applications from nonprofits, rescues, charities and similar organisations before allowing access to nonprofit features. Approval permits use of the relevant Yata functions but does not amount to an audit, accreditation, guarantee of charitable status, endorsement or promise that information provided by the organisation is complete or current.

Approved organisations remain responsible for the accuracy and legality of their organisation details, updates, requests, public location information and other content they publish.

11. Product safety, legality and recalls

Businesses, Sellers and Suppliers must not offer products that they know, or reasonably should know, are unsafe or unlawful. They are responsible for compliance with the product-safety, labelling, traceability, import, composition and other legal requirements that apply to their role and the countries in which they make products available.

For edible goods, pet food, treats, supplements and similar products, the responsible Seller and Supplier must provide any legally required ingredient, composition, feeding, storage, warning, allergen, batch, durability or other product information and must not make unlawful or misleading health claims.

If a product is suspected to be unsafe, non-compliant, counterfeit or subject to recall, Yata may immediately hide or remove the listing, stop further sales, hold affected settlements, contact users, preserve transaction records and cooperate with the responsible seller, supplier, payment provider, carrier or public authority. Sellers and Suppliers must cooperate promptly with reasonable recall, traceability and corrective-action requests.

11A. Food, treats and cross-border delivery

Yata is an intermediary marketplace. Yata does not make, store, inspect, certify, import, export or deliver food, treats, supplements or any other goods, and does not check that any product, seller, supplier or delivery route is lawful.

Automatic delivery rules. To reduce the chance that food is offered where it cannot lawfully be delivered, Yata applies automatic rules. Food and treats can be delivered within the country they are sent from; between EU member states for a business that has saved a food or feed registration number; and on other routes only where Yata has opened the route for declaration and the Registered Business or Supplier has declared it. Yata may open, change, suspend or close routes at any time. These rules are a convenience tool only. They are not legal advice, they do not mean that any route is lawful for a particular product, and they do not reduce the responsibility of the Registered Business or Supplier.

Who is responsible. A Registered Business selling through Hire Stall & Space, and a Supplier who adds goods to the Online Warehouse, is solely responsible for ensuring that each food or treat product, and each delivery of it, is lawful in the country it is sent from, any country it passes through and the country it is delivered to. This includes registrations and approvals, health and export certificates, import permits, licences, customs and tax requirements, composition, labelling, allergen and feeding information, batch and best-before information, storage and transport conditions, and recalls. Any declaration made through Yata must be true, complete and kept up to date.

Suppliers and resellers. The Supplier is responsible for the compliance of the goods it adds to the Online Warehouse and for every route it enables, including when a Dropshipping Seller offers those goods to buyers. A Dropshipping Seller does not choose the delivery routes and does not store, label, certify or send the goods. As between the Dropshipping Seller, the Supplier and Yata, the compliance of food goods and the lawfulness of their delivery is the Supplier’s responsibility and not the Dropshipping Seller’s. This does not limit any right a consumer has by law against the seller of the goods.

If something goes wrong. Yata is not responsible for goods that are refused, held, seized, destroyed or delayed by customs or any authority, for duties, taxes or fees, for food that is unsafe, unlawful or non-compliant, or for loss caused by a declaration, listing or delivery made by a Registered Business or Supplier. As between Yata and a Registered Business or Supplier, those matters are for the Registered Business or Supplier, who must deal with them and bear the cost, and section 27 applies. Nothing in this section limits liability that cannot be excluded by law or any right a consumer has by law.

Yata may hide or remove food listings, suspend a Registered Business’s or Supplier’s food deliveries or declarations, withhold settlements under section 15, and share information with the authorities where it considers this necessary.

12. Prices, Yata commission and taxes

Prices, subscription fees, delivery charges and other unavoidable charges must be shown or calculated as clearly as reasonably possible before the buyer becomes committed to pay.

Yata applies an 8% marketplace commission to the sale price of goods sold through the marketplace. This covers Registered Businesses selling their own goods, Dropshipping Sellers selling Yata-supplied goods (including goods sold through a Shopify store connected to Yata), and Suppliers, whose commission is taken from the supplier listed price of each item sold. Commission does not apply to services, which are arranged and paid for directly between the customer and the provider, or to the Hire Stall & Space subscription fee.

In a dropshipping sale, the payment may be allocated between the approved Supplier amount, the Dropshipping Seller earnings or markup, and Yata commission, together with payment-processing costs and other amounts that are properly attributable to the transaction. A Supplier amount is the Supplier listed price for the goods, less the 8% commission, plus any delivery payment, as shown on the earnings page.

For each order, the earnings page of the relevant cabinet shows the amounts included and deducted, including Yata commission and payment-processing costs, so that every payout can be traced. Bank payout fees may also apply, as described in section 15.

Yata may change platform prices or commission arrangements for future transactions by updating the relevant marketplace information and, where appropriate, notifying affected users. A change will not retrospectively alter a completed transaction.

Each Seller, Supplier or provider is responsible for determining and meeting its own tax, VAT, customs, import/export, accounting and reporting obligations. Yata does not provide individual tax advice.

13. Digital-platform tax reporting and verification

Where Yata is required by law to collect, verify, retain or report information about users who earn money through the platform, users must provide accurate information reasonably requested for that purpose. This may include legal name, address, date of birth, tax-identification details, company or charity registration information, payment information and transaction totals.

Yata may disclose reportable information to HM Revenue & Customs or another competent authority where legally required and may provide the user with information Yata has reported about them. If required information is not provided or cannot reasonably be verified, Yata may restrict affected selling or payout functions until the requirement is resolved.

14. Payments, Stripe and currency

Payments may be processed by Stripe or another enabled third-party payment provider. Those providers may apply their own terms, identity checks, fraud controls, card rules, availability requirements and connected-account conditions.

Unless checkout expressly offers another currency, Yata’s base marketplace currency is GBP. A buyer using a card or account denominated in another currency may have the transaction converted by their bank, card issuer or payment provider and may be charged conversion or foreign-transaction fees by that provider. Yata is not responsible for an exchange rate or fee independently applied by the buyer’s bank or card issuer.

Where checkout shows a price in a currency other than GBP, that amount is converted from the GBP price at the exchange rate in use at checkout and may be rounded, so it can vary slightly from one day to the next. The amount shown at checkout before you pay is the amount charged. Seller and Supplier earnings and payouts are calculated and paid in GBP, and Yata commission is calculated on the GBP sale price. At checkout, a buyer may choose to round the order total up to the next whole pound. This round-up is voluntary, is shown as a separate line on the order and receipt, is kept by Yata’s Marketplace to help keep nonprofit listings free, and is not part of any Seller or Supplier earnings or commission. If an order is refunded in full, the round-up is refunded with it.

Users must not send complete card credentials, internet-banking passwords or other sensitive authentication credentials to Yata, a Seller or a Supplier by ordinary email or marketplace message.

15. Connected accounts, payouts and settlement holds

A Supplier, Seller or Business that is eligible to receive automated settlement may need to complete Stripe Connect or other payment-provider onboarding. Payment or payout availability may depend on identity verification, connected-account capabilities, banking information and the payment provider’s rules.

Yata may delay, reduce, reverse, offset or place a reasonable hold on a settlement where necessary to deal with an incomplete payment, refund, return, chargeback, payment dispute, suspected fraud, duplicate transaction, delivery or fulfilment problem, product-safety issue, connected-account restriction, legal requirement or other unresolved transaction risk.

A payout timetable is not a guarantee that funds will be available on a particular date where the transaction is under review or an independent payment provider or bank has delayed, rejected or restricted the transfer.

16. Shipping, delivery and fulfilment

The responsible Seller, Supplier or Business must provide accurate shipping availability, dispatch information and delivery details for the goods it supplies. A Supplier fulfilling a Dropshipping order remains responsible for correctly preparing and dispatching its allocated goods.

Carriers and postal operators are independent third parties. Estimated delivery times are estimates unless expressly stated to be guaranteed by the responsible trader. Nothing in this section removes a buyer’s statutory rights against the trader responsible for the sale and delivery of the goods.

Yata may block checkout, hide a physical product or prevent publication where required shipping or fulfilment information is missing or where the destination is not supported.

17. Returns, refunds, cancellations and chargebacks

Consumers may have statutory rights to cancel distance contracts, reject faulty goods, obtain repair or replacement, receive a price reduction or obtain a refund depending on the circumstances and applicable law. These Terms do not replace or reduce those rights.

The Seller responsible for the retail sale remains responsible for meeting the consumer-law obligations that apply to that sale. Suppliers and other fulfilment parties must cooperate where their product, stock, dispatch or other conduct is relevant to the claim.

Yata may administer or facilitate the marketplace return/refund process and may adjust settlement records to reflect a refund, partial refund, chargeback or dispute. A refund or dispute can reduce or reverse amounts previously allocated to a Supplier, Seller, Business or Yata.

Users must not misuse the chargeback process. A genuine payment dispute may be raised through the appropriate card issuer or payment provider, but knowingly making a false or misleading chargeback claim may result in account restriction and recovery action.

18. Reviews and ratings

Reviews must be based on genuine experience and must not be fake, misleading or submitted to manipulate marketplace reputation. If a review has been incentivised in a way that must be disclosed by law, the reviewer and relevant trader must ensure the incentive is made clear.

Yata may distinguish marketplace product reviews that can be linked to a completed order from service reviews where the underlying service may have been arranged directly. A label such as “Verified Purchase” confirms only the marketplace purchase record; it is not an endorsement of the review’s opinion.

Yata may use reasonable and proportionate measures to identify, reject, investigate, label, hide or remove fake, unlawful, abusive or misleading reviews and review information. Providers may respond to reviews where the platform allows it but may not alter the reviewer’s content or retaliate against a user for giving an honest review.

19. Listings, photographs and other user content

You retain ownership of content you submit where you own it, but you must have the rights and permissions needed to upload and publish it. You grant Yata a non-exclusive, worldwide, royalty-free licence for as long as reasonably necessary to host, reproduce, resize, format, display and technically process that content for operating, promoting and securing the marketplace and its connected features.

This licence does not transfer ownership of your content to Yata. You remain responsible for ensuring your content does not infringe intellectual-property, privacy, confidentiality or other legal rights.

Yata may remove or restrict content where it reasonably believes the content is unlawful, misleading, unsafe, infringing, technically harmful, inconsistent with these Terms or necessary to remove in response to a legal or regulatory request.

20. Global Reach, addresses and mapping

Eligible businesses, providers, veterinary clinics and approved nonprofits may appear on Global Reach. The public location shown depends on the account type and the location choices available to that account.

Independent Service Providers provide genuine location information to Yata and may be offered a choice between an exact or approximate public location. Other account types may have their business or organisation address displayed according to the marketplace rules applying to them.

Map coordinates, routes, geocoding, travel times and directions can be approximate, incomplete or affected by third-party mapping data. Users should verify an appointment, collection or service location directly with the relevant provider. Global Reach is not an emergency-navigation service.

21. No endorsement or guarantee of another user

Account approval, marketplace access, a public stall, review score, map pin, “Verified Purchase” label or other Yata feature does not mean that Yata guarantees, certifies or endorses a user, product or service unless Yata expressly says so in writing.

Users should make reasonable checks appropriate to the transaction, particularly for professional services, high-value purchases, regulated activities and situations involving an animal’s health or welfare.

22. Account moderation, suspension and removal

Yata may investigate, restrict, suspend, unpublish or remove an account, listing, review, product, service or transaction where reasonably necessary to:

Where appropriate, Yata may request further information before restoring access. Immediate action may be taken where delay could create safety, fraud, legal or financial risk.

23. Closing an account

You may stop using Yata and may cancel an eligible subscription through the available account tools. Closing or losing access to an account does not cancel obligations relating to transactions already entered into, including outstanding fulfilment, refunds, chargebacks, taxes, complaints, product recalls, reporting duties or amounts properly due.

Yata may retain transaction and compliance records where reasonably necessary or legally required, even after an account is closed.

24. Third-party services and platform availability

Yata relies on third-party services including hosting, payment processors, email delivery, mapping, WordPress/WooCommerce services, carriers and other technology providers. Yata will take reasonable steps to operate and maintain the marketplace but cannot promise that every third-party service, integration or website function will be uninterrupted or error-free at all times.

Yata is not responsible for a failure caused entirely by an independent third party where Yata has exercised reasonable care in selecting, configuring and responding to that service and the failure was outside Yata’s reasonable control. This does not remove any responsibility Yata has under mandatory law for its own acts or omissions.

25. Consumer liability and statutory rights

If you are a consumer, Yata is responsible for loss or damage that is a foreseeable result of Yata breaching its contract with you or failing to use reasonable care and skill in providing a service that Yata itself supplies. Yata is not responsible for loss caused by an independent Seller or service provider merely because that person uses the marketplace, except where the law makes Yata responsible.

Yata does not exclude or restrict liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that the law does not allow Yata to exclude or restrict. Nothing in these Terms limits a consumer’s non-excludable statutory rights.

Yata does not accept responsibility for business losses suffered by a person acting as a consumer, such as loss of profit, business, revenue or commercial opportunity, because the consumer-facing parts of Yata are not supplied for business-loss protection.

26. Liability to Business Users

This section applies to Suppliers, Dropshipping Sellers, Registered Businesses, Business Service Providers, Independent Service Providers and other users acting for business, trade or professional purposes (“Business Users”).

Yata is not liable to a Business User for indirect or consequential loss, or for loss of profit, revenue, business, opportunity, anticipated savings, goodwill or reputation, where such loss results from use of the platform or a marketplace transaction. Business Users remain responsible for their own commercial decisions, pricing, stock, taxes, insurance, regulatory obligations, products and services.

The exclusions in this section do not apply to fraud or fraudulent misrepresentation, death or personal injury caused by negligence, deliberate unlawful conduct, or another liability that cannot lawfully be excluded or restricted.

27. Business User responsibility for third-party claims

A Business User must reimburse Yata for reasonable losses, liabilities and external costs that Yata incurs as a direct result of a third-party claim caused by that Business User’s material breach of these Terms, unlawful or unsafe goods or services, infringement of intellectual-property rights, misleading listing, tax or regulatory breach, or misuse of personal information.

This obligation applies only to the extent the claim was caused by the Business User and does not require the Business User to reimburse Yata for loss caused by Yata’s own breach, negligence or unlawful conduct.

28. Events outside reasonable control

No party is responsible for delay or failure to perform an obligation to the extent the delay or failure is caused by circumstances genuinely outside that party’s reasonable control, such as major internet or infrastructure failure, natural disaster, war, civil emergency, government restriction, widespread payment-network outage, industrial action affecting an independent carrier, or similar event.

This section does not remove payment, refund, consumer-right or safety obligations that continue to apply despite the event.

29. Privacy and personal information

Yata processes personal information as described in the Privacy Policy. Users involved in fulfilment or service arrangements must use another person’s contact, delivery or account information only for lawful purposes connected with the relevant transaction and must protect it appropriately.

30. Changes to Yata and these Terms

Yata may improve, replace, withdraw or add marketplace features and may update these Terms to reflect legal requirements, security needs, payment or platform changes, new services or changes in the way Yata operates.

Material changes that significantly affect an active subscription or Business User relationship will be communicated in a reasonable manner where appropriate. Changes will not retrospectively alter a completed order. If a change materially affects an ongoing paid Yata subscription and the subscriber does not wish to continue, the subscriber may cancel future renewal using the available cancellation process, subject to rights that apply under law.

31. Complaints and contacting Yata

Questions or complaints about the marketplace, a Yata platform subscription, a payment administered by Yata, account moderation or these Terms can be sent to office@yatasmarketplace.com or through the Contact Us page.

If a complaint concerns the quality, safety, description, delivery or performance of third-party goods or services, Yata may refer the matter to or request information from the responsible Seller, Supplier or provider while continuing to assist with the marketplace process where appropriate.

32. Governing law and courts

These Terms and Yata’s platform services are governed by the laws of England and Wales.

If you are a consumer, this choice of law does not deprive you of mandatory consumer protections that apply to you under the law of the country in which you habitually live, where those protections cannot lawfully be excluded. A consumer may use any court that has jurisdiction under applicable consumer law.

If you are a Business User, the courts of England and Wales will have exclusive jurisdiction over disputes arising out of or in connection with these Terms, except where Yata and the Business User agree another lawful dispute-resolution process in writing.

33. General

If a provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply so far as legally possible. A delay by Yata in enforcing a right does not mean that right has been waived. A person who is not a party to these Terms does not have a right to enforce them unless applicable law expressly provides otherwise.
